Immediate opening for an experienced and motivated transactional business/tax attorney to support and team with our Business and Tax Group in the areas of: choice of entity, tax structuring for transactions (including mergers, acquisition and reorganizations) and equity compensation arrangements. Must have experience with S Corporations, LLCs and Partnerships. Familiarity with Section 409A of the Code preferred. This attorney will be expected to draft, review and negotiate a wide range of business and commercial agreements, including, but not limited to, operating agreements, stockholder agreements, merger agreements, stock purchase agreements, and asset purchase agreements.  In addition, this attorney may research and advise on complex tax transactions including multi-asset 1031 exchanges, forming and implementing opportunity zone funds.

Required Qualifications

  • At least 3 years of relevant transactional experience at a reputable law firm;
  • Excellent research, communication and legal writing skills, with a high level of attention to detail;  
  • Current ability to practice law in Maryland and/or the ability to sit for or waive into the Maryland bar.
  • LL.M in taxation preferred but not required.
