Immediate opening for an experienced and motivated transactional tax attorney to support and team with our Business and Tax Group in the areas of: choice of entity, tax structuring for transactions (including mergers, acquisition and reorganizations) and equity compensation arrangements.  Must have extensive experience with S Corporations, LLCs and Partnerships.  Familiarity with Section 409A of the Code preferred.   This attorney will research and advise on complex tax transactions including multi-asset 1031 exchanges, forming and implementing opportunity zone funds, and will be expected to draft, review and negotiate a wide range of business and commercial agreements, including, but not limited to, operating agreements, stockholder agreements, merger agreements, stock purchase agreements, and asset purchase agreements.

Required Qualifications

  • LL.M in taxation and excellent academic credentials;  
  • At least 4 years of relevant transaction tax experience at a reputable law firm;
  • Excellent research,  communication and legal writing skills, with a high level of attention to detail;  
  • Current ability to practice law in Maryland and/or the ability to sit for or waive into the Maryland bar.
